Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Tiona, a sole proprietorship operated by Devi Preetham Kumar Adimulam, having its registered address at Sierra - I - 701, Rajapushpa Atria, Kokapet, Hyderabad, Telangana - 500075, India ("Tiona", "Company", "we", "us", or "our").

These Terms govern your access to and use of the Tiona mobile applications, website (tiona.fit), and all related services (collectively, the "Service" or "Platform").

Key Definitions:

  • Business User means a tailor, boutique owner, fashion designer, or any individual or entity that uses the Tiona Business App to manage their tailoring or fashion business operations.
  • Customer User means an end customer who uses the Tiona Customer App to interact with a Business User, track orders, make payments, or access related services.
  • Account means the registered user profile created through phone number verification and OTP authentication to access the Service.
  • Content means any text, images, photographs, voice recordings, documents, portfolio items, measurements, or other materials uploaded, submitted, or transmitted through the Service.
  • Subscription means the paid plan selected by a Business User to access premium features.
  • AI Features means functionality powered by artificial intelligence, including AI-powered body measurement extraction, design suggestions, virtual try-on, AI reply suggestions, and portfolio description generation.
  • Personal Data has the meaning ascribed to it under the Digital Personal Data Protection Act, 2023 ("DPDP Act").

1. Acceptance of Terms

By downloading, installing, accessing, or using the Tiona app, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies referenced herein.

If you do not agree to these Terms, you must not access or use the Service.

Minimum Age: You must be at least 18 years of age to create an Account and use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Service Description

Tiona is a smart tailoring business management platform available as two mobile applications:

Tiona Business App (for Business Users):

  • Customer and Lead Management
  • Order Management with status tracking
  • Body Measurements (manual and AI-powered)
  • Payment Recording (cash, UPI, card, bank transfer)
  • In-App Messaging (text, images, voice, documents)
  • VoIP Audio Calling (peer-to-peer WebRTC)
  • AI-Powered Features (measurement extraction, design suggestions, virtual try-on, reply suggestions, portfolio descriptions)
  • Portfolio Showcase
  • Meeting Scheduling
  • WhatsApp and SMS Notifications
  • Reports and Analytics
  • Business Profile with public URL
  • Speech Recognition for hands-free data entry
  • Offline Mode with automatic sync

Tiona Customer App (for Customer Users):

  • Order Tracking in real time
  • Payment History and payments to businesses
  • Messaging with businesses
  • VoIP Audio Calling
  • AI Body Scanning for measurements
  • Portfolio Browsing
  • Meeting Management
  • Business Discovery (location-based)
  • Profile and Notification Management

3. User Accounts

Registration: To use the Service, you must create an Account by providing your mobile phone number and verifying it through a One-Time Password (OTP) sent via SMS.

Account Types: The Service supports Business Accounts (for the Business App) and Customer Accounts (for the Customer App). A single phone number may be associated with both account types.

Account Security: You are solely responsible for maintaining the confidentiality and security of your Account. You must not share your OTP or Account credentials with any third party. You agree to immediately notify us at support@tiona.fit if you become aware of any unauthorized use.

Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate Accounts found to contain false or misleading information.

One Business per Account: Each Business Account is associated with a single business entity. Sharing a Business Account among multiple unrelated businesses is prohibited.

Account Linking: Customer Users may be linked to Business User accounts through phone number matching. By registering with the same phone number that a Business User has on record, you consent to the automatic association of your Customer Account with that Business User's customer records.

4. User Content

Ownership: You retain all ownership rights in the Content you upload, submit, or transmit through the Service. Tiona does not claim ownership of your Content.

License Grant to Tiona: By uploading or submitting Content to the Service, you grant Tiona a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, reproduce, process, and transmit your Content solely for the purpose of operating, maintaining, and improving the Service.

License Grant Between Users: When a Business User shares Content with a Customer User (or vice versa), the sending party grants the receiving party a limited, non-exclusive license to view and use such Content within the context of their business relationship on the Platform.

Content Responsibility: You are solely responsible for all Content you upload, share, or transmit. You represent and warrant that you own or have the necessary rights to share such Content, it does not infringe any third party's rights, and it complies with all applicable laws.

Content Moderation: We reserve the right, but have no obligation, to review, monitor, or remove Content that violates these Terms or applicable law.

5. Subscription and Billing

Subscription Plans:

  • Starter (Free): Basic features with limited capacity, no AI features.
  • Professional: Enhanced capacity and AI-powered features including measurement extraction, design suggestions, and AI reply suggestions.
  • Business: Unlimited capacity and full access to all AI features including virtual try-on and AI portfolio descriptions.

The Customer App is free for Customer Users.

Free Trial: New Business Users get a one-time 30-day free trial with access to all features. No payment information required. After the trial, subscribe to continue using premium features.

Payment Processing: All subscription payments are processed through Razorpay, a third-party payment gateway regulated by the Reserve Bank of India. Tiona does not store your credit card, debit card, or bank account details.

Billing Cycle and Auto-Renewal: Subscriptions are available on monthly or annual cycles and auto-renew unless cancelled at least 24 hours before renewal.

Taxes: All prices are exclusive of applicable taxes unless stated otherwise. GST at the prevailing rate shall be charged in addition.

Cancellation: Cancel any time through the app's Subscription settings or by contacting support@tiona.fit. Your subscription remains active until the end of the current billing period.

Refund Policy: Refunds are available within 72 hours of a new billing cycle charge. Refunds beyond 72 hours are at Tiona's discretion. Approved refunds are processed within 5-7 business days.

Price Changes: Any price changes will be communicated at least 30 days in advance and take effect at the start of the next billing cycle.

6. AI-Powered Features

Certain features use artificial intelligence technology provided by Google Gemini (Google LLC):

  • AI Measurement Extraction: Body measurement estimation from photographs.
  • Design Suggestions: AI-generated garment design recommendations.
  • Virtual Try-On: AI-generated preview images showing how a design may look when worn.
  • AI Reply Suggestions: Automated response suggestions for messages.
  • AI Portfolio Descriptions: AI-generated textual descriptions for portfolio items.

Data Sent for AI Processing: Photographs, text content, and contextual metadata may be transmitted to Google Gemini's servers. Data is transmitted securely and processed in accordance with Google's AI Terms of Service.

Accuracy Disclaimer: AI Features provide estimates and suggestions only. They are not a substitute for professional measurement or design judgment. Always verify AI-generated measurements manually before using them for garment construction.

Opt-In Nature: AI Features are entirely optional. By actively initiating an AI Feature, you consent to the processing described in this section.

Biometric-Adjacent Data: Photographs used for AI measurement may capture body dimensions and physical characteristics. We treat such data with heightened care. You may request deletion of all measurement photographs at any time.

AI Usage Limits: AI Feature usage is subject to monthly limits based on your subscription plan tier.

7. Messaging and Communication

In-App Messaging: The Service provides real-time messaging between Business Users and Customer Users, supporting text, images, voice messages, documents, portfolio sharing, meeting invites, and payment requests. Messages are stored on our servers and synchronized across your devices.

VoIP Audio Calling: The Service provides in-app audio calling using WebRTC peer-to-peer technology. Call audio is transmitted directly between participants and is not recorded or stored by Tiona. Call signaling metadata is recorded for service operation purposes.

External Notifications (WhatsApp and SMS): Business Users may trigger WhatsApp messages and SMS notifications to their customers for order updates, payment reminders, and meeting confirmations. These are delivered through Twilio and MSG91. Business Users represent that they have obtained appropriate consent from their customers.

Prohibited Content: You must not send any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, that infringes intellectual property rights, contains malware, constitutes spam, or violates any applicable law.

Message Storage: Messages, voice recordings, and media are stored for the duration of your Account's existence. Upon Account deletion, message data is processed as described in Section 17.

8. Data Controller and Processor Relationship

Business Users as Data Fiduciaries: Under the DPDP Act, 2023, Business Users who collect and manage customer personal data through the Service act as Data Fiduciaries. Business Users are responsible for obtaining valid consent, responding to data access and erasure requests, ensuring data accuracy, and complying with all Data Fiduciary obligations.

Tiona as Data Processor: Tiona acts as a Data Processor when processing customer data on behalf of Business Users. Tiona processes customer Personal Data only as necessary to provide the Service and implements appropriate security measures.

Customer Users as Data Principals: Customer Users have the right to access their Personal Data, request correction or erasure, and nominate another person to exercise these rights on their behalf.

9. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service for any fraudulent, deceptive, or illegal activity
  • Impersonate any person or entity
  • Attempt to gain unauthorized access to the Service or other user accounts
  • Interfere with or disrupt the Service or connected networks
  • Use automated scripts, bots, or scrapers without prior written consent
  • Reverse-engineer, decompile, or disassemble the Service
  • Harvest or store Personal Data of other Users except as necessary for normal business use
  • Circumvent security-related features or subscription plan limits
  • Resell, sublicense, or commercially exploit the Service without authorization

Rate Limits: The Service may impose rate limits on API calls, message sending, file uploads, and AI Feature usage. Attempting to circumvent these limits is a violation of these Terms.

Violation may result in warning, temporary suspension, or permanent termination of your Account.

10. Intellectual Property

Tiona's Intellectual Property: The Service, including its software, source code, design, user interface, graphics, logos, trademarks, and documentation, is owned by or licensed to Tiona and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws.

User's Intellectual Property: You retain ownership of all Content you create and upload. Portfolio images, designs, photographs, and other creative Content remain your intellectual property.

Feedback: If you provide suggestions or feedback about the Service, you grant Tiona an irrevocable, non-exclusive, royalty-free, worldwide license to use, modify, and incorporate such Feedback without any obligation to you.

Tiona Brand: You may not use the Tiona name, logo, or branding in any manner that suggests endorsement without our prior written consent.

11. Third-Party Services

The Service integrates with the following third-party services:

  • Supabase (Supabase Inc.) — Backend infrastructure, database, authentication, file storage, real-time sync
  • Firebase (Google LLC) — Analytics and cloud messaging (FCM push notifications)
  • Razorpay (Razorpay Software Pvt. Ltd.) — Subscription payment processing
  • Google Gemini (Google LLC) — AI-powered features
  • Google Maps Platform (Google LLC) — Location services and business discovery
  • Twilio (Twilio Inc.) — SMS and WhatsApp message delivery
  • MSG91 (Walkover Web Solutions Pvt. Ltd.) — OTP delivery via SMS
  • Sentry (Functional Software Inc.) — Crash reporting and error monitoring
  • Apple PushKit/CallKit (Apple Inc.) — iOS VoIP push notifications
  • Google STUN/TURN (Google LLC) — WebRTC call connectivity

Your use of the Service constitutes acknowledgment that your data may be processed by these third-party services. Tiona is not responsible for the availability, accuracy, or practices of third-party services.

12. Service Availability

No Guarantee: The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

Maintenance: We may perform scheduled and unscheduled maintenance that may temporarily affect availability. We will make reasonable efforts to notify Users of planned maintenance.

Offline Mode: The Business App provides offline functionality with automatic synchronization when connectivity is restored. Tiona is not responsible for data conflicts or losses during synchronization.

Force Majeure: Tiona shall not be liable for any failure or delay resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, cyberattacks, or failures of third-party service providers.

13. Limitation of Liability

Cap on Liability: To the maximum extent permitted by law, Tiona's total aggregate liability shall not exceed the greater of: (a) the total amount paid by you to Tiona in the twelve (12) months preceding the claim, or (b) INR 5,000.

Exclusion of Consequential Damages: Tiona shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, goodwill, data, business opportunities, or other intangible losses arising from:

  • Your access to or use of (or inability to use) the Service
  • Any Content obtained from the Service, including AI-generated outputs
  • Unauthorized access to your Content or transmissions
  • Inaccuracy of AI-powered measurements or suggestions
  • Loss or corruption of data during offline synchronization

Nothing in these Terms excludes liability that cannot be excluded under the Consumer Protection Act, 2019, or other mandatory provisions of Indian law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Tiona, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service or violation of these Terms
  • Your Content, including any claim that it infringes third-party rights
  • Your violation of any applicable law or regulation
  • For Business Users: your handling of customer Personal Data, including failure to obtain proper consent
  • For Business Users: the content of WhatsApp or SMS notifications sent through the Service

15. Dispute Resolution

Informal Resolution: Before initiating formal proceedings, contact us at support@tiona.fit and attempt to resolve the dispute informally within 30 days.

Mediation: If informal resolution is unsuccessful, either party may propose mediation through a mutually agreed mediator. Mediation costs shall be shared equally.

Arbitration: Unresolved disputes shall be settled by binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bengaluru, Karnataka, India. The language shall be English. The arbitral award shall be final and binding.

Jurisdiction: Subject to arbitration, the courts of Bengaluru, Karnataka, India, shall have exclusive jurisdiction.

Class Action Waiver: To the maximum extent permitted by law, dispute resolution proceedings will be conducted only on an individual basis.

16. Termination

Termination by You: You may terminate your Account at any time by using the Account deletion feature within the app or by contacting support@tiona.fit.

Termination by Tiona: We may suspend or terminate your Account if you breach these Terms, engage in fraudulent activity, your Account has been inactive for 12 months, we are required to do so by law, or we discontinue the Service.

Effect of Termination: Upon termination, your right to access the Service ceases immediately. Business profiles and public links will be deactivated. Certain provisions survive termination including User Content, Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.

Data Retention Post-Termination: Tiona may retain your data for up to 180 days for legal compliance, dispute resolution, and maintaining data integrity for other Users who interacted with your Account.

17. Account Deletion

Requesting Deletion: Use the "Delete Account" option in Settings or email support@tiona.fit.

Processing Timeline: Requests will be processed within 30 days. You will receive a confirmation once deletion is complete.

Cooling-Off Period: After initiating deletion, there is a 7-day cooling-off period during which you may cancel by logging back in. After this period, deletion is irreversible.

What Is Deleted: Your user profile, authentication credentials, customer records, messages, media, voice recordings, portfolio items, measurement data, order records, payment records, and notification history.

What May Be Retained: Anonymized aggregate data, transaction records required by law (typically 6-8 years), data required for pending legal proceedings, and for Business Users, anonymized order and payment records for Customer Users' order history.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

The following Indian statutes, among others, apply:

  • The Digital Personal Data Protection Act, 2023, and the Digital Personal Data Protection Rules, 2025
  • The Information Technology Act, 2000, and the IT Rules, 2011
  • The Consumer Protection Act, 2019, and the Consumer Protection (E-Commerce) Rules, 2020
  • The Indian Contract Act, 1872
  • The Arbitration and Conciliation Act, 1996

19. Payments Between Business and Customer Users

Tiona as a Platform, Not a Payment Facilitator: The payment recording feature is a bookkeeping tool. Tiona does not process, facilitate, hold, or escrow payments between Business Users and Customer Users. All such payments occur directly between the parties outside the Platform.

No Liability for Inter-Party Payments: Tiona is not responsible for any payment disputes between Business Users and Customer Users.

Subscription Payments Only: The only payments processed through Tiona are subscription plan payments made by Business Users to Tiona.

20. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date. For material changes, we will provide at least 30 days' prior notice via in-app notification, push notification, or email.

Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and may delete your Account.

For changes required by law, regulation, or court order, we may implement changes with shorter or no notice period.

21. Grievance Redressal

Filing a Grievance: Send an email to support@tiona.fit with a clear description of your complaint, relevant details, and your Account information.

Response Timeline:

  • Acknowledgment: Within 72 hours of receipt.
  • Resolution: Within 7 working days. For complex matters, we may extend by an additional 15 working days with prior intimation.

Escalation: If not satisfied, you may file a complaint with the appropriate Consumer Disputes Redressal Commission or initiate dispute resolution proceedings as described in Section 15.

22. Consumer Protection Compliance

In compliance with the Consumer Protection Act, 2019, and the Consumer Protection (E-Commerce) Rules, 2020:

  • All subscription pricing is displayed transparently with a breakdown of applicable taxes.
  • Refund requests meeting the criteria will be processed within 5-7 business days.
  • Consumer complaints will be acknowledged within 48 hours and resolved within 1 month.
  • No unfair trade practices or misleading advertisements are employed.
  • Clear, accurate descriptions of all features and limitations are provided before subscribing.

You have the right to cancel your subscription at any time. We undertake not to impose any terms considered unfair under the Consumer Protection Act, 2019.

23. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tiona regarding the Service.

Severability: If any provision is found unenforceable, it shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in effect.

Waiver: Failure to enforce any right shall not constitute a waiver.

Assignment: You may not assign your rights without our consent. Tiona may assign its rights in connection with a merger, acquisition, or sale of assets.

Notices: Notices to you may be sent via in-app notifications, push notifications, SMS, or email. Notices to Tiona should be sent to support@tiona.fit.

Language: In the event of any conflict between the English version and a translation, the English version shall prevail.
